These Terms & Conditions ("Terms") govern your access to and use of the Dr. Social Lab website (the "Site") and the website design, development, AI, and automation services we provide (the "Services"). By accessing the Site or engaging our Services, you agree to these Terms. If you do not agree, please do not use the Site or Services.

1. Services

Dr. Social Lab provides website design and development as its primary service, along with optional AI, automation, marketing, and related add-ons. The specific scope, deliverables, timeline, and pricing for any engagement will be defined in a separate proposal, statement of work, or service agreement ("Agreement"). In the event of any conflict between these Terms and an Agreement, the Agreement controls.

2. Use of the Site

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, restrict, or interfere with the use and enjoyment of the Site by others. You may not attempt to gain unauthorized access to any part of the Site, its systems, or data, or introduce viruses, malware, or other harmful code.

3. Intellectual Property

All content on this Site — including text, graphics, logos, design, layout, and code — is the property of Dr. Social Lab or its licensors and is protected by applicable intellectual property laws. Upon full payment of all fees due under an Agreement, ownership of the final, delivered website assets custom-created for the client transfers to the client, except for any third-party materials, fonts, plugins, or open-source components, which remain subject to their respective licenses. Dr. Social Lab retains the right to display completed work in its portfolio and marketing materials unless otherwise agreed in writing.

4. Client Responsibilities

Clients are responsible for providing accurate information, timely feedback, and access to necessary accounts, content, and third-party platforms required to deliver the Services. Delays caused by missing or late client input may affect project timelines. Clients are responsible for the legality and accuracy of all content they provide.

5. Third-Party Services

The Services may involve or integrate third-party tools, platforms, and services (such as hosting providers, CRM systems, calendar and booking tools, chat platforms, and AI providers). Dr. Social Lab is not responsible for the availability, performance, accuracy, or policies of third-party services, and clients are subject to those providers' terms. AI-generated outputs may occasionally be incomplete or inaccurate and should be reviewed before use.

6. Payments & Fees

Fees, payment schedules, and refund terms are defined in the applicable Agreement. Unless stated otherwise, payments are due as invoiced. Late payments may result in the suspension of work or services. Recurring services remain active until cancelled in accordance with the Agreement.

7. No Guarantees of Results

While Dr. Social Lab designs websites and systems to improve credibility, lead capture, and conversion, we cannot guarantee specific business outcomes, including revenue, leads, rankings, or advertising performance. Results depend on many factors outside our control, including market conditions, product or service quality, pricing, and client execution.

8. Limitation of Liability

To the maximum extent permitted by law, Dr. Social Lab and its team shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business interruption, arising out of or related to the Site or Services. Our total liability for any claim arising from the Services is limited to the amount paid by the client for the specific work giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless Dr. Social Lab and its contractors from any claims, damages, or expenses (including reasonable legal fees) arising from your content, your use of the Site or Services, or your violation of these Terms or the rights of any third party.

10. Privacy

Your use of the Site and Services is also subject to our Privacy Policy, which describes how we collect, use, and protect information.

11. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Continued use of the Site or Services after changes are posted constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with applicable local law, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Services shall be resolved in the competent courts of the applicable jurisdiction.
